Common use of Resignation of Member Clause in Contracts

Resignation of Member. A Member may resign upon not less than three (3) months prior written notice to each Member at this address on the books of the Company. Except as otherwise provided in this Article V, upon resignation, any resigning Member is entitled to receive within a reasonable time after resignation the fair value of his Membership Interest as of the date of resignation.

Resignation of Member. A Member may resign upon not less than three six (36) months prior written notice to each Member at this his address on the books of the Company. Except as otherwise provided in this Article VVIII, upon resignation, any resigning Member is entitled to receive any distribution to which he is entitled under this Agreement. If not otherwise provided in this Agreement, a resigning Member shall also be entitled to receive within a reasonable time after resignation the fair value of his Membership Interest as of the date of resignation.
