Response to Subpoenas. In the event that BCI receives a subpoena (or similar notice or request) from any judicial, administrative or other party arising out of or in connection with this Agreement, including, but not limited to, any unauthorized use or disclosure of PHI or any failure in BCI’s security measures, “CLIENT” shall promptly forward a copy of such subpoena “CLIENT” and afford “CLIENT” the opportunity to be a part of the decision making with regard to the subpoena including but not limited to responding to the subpoena.
