Common use of Response Clause in Contracts

Response. Immediately upon becoming aware of a Security Breach, or a complaint of a Security Breach, Contractor shall notify the District Designated Representative in writing as set forth herein, fully investigate the Security Breach, cooperate fully with the District’s investigation of and response to the Security Breach, and use best efforts to prevent any further Security Breach at Contractor’s expense in accordance with applicable privacy laws. Except as otherwise required by law, Contractor shall not provide notice of the Security Breach directly to individuals whose Personally Identifiable Information was involved, to regulatory agencies, or to other entities, without first providing written notice to the District’s Designated Representative.

Response. Immediately Promptly upon becoming aware of a Security Breach, or a complaint of a Security Breach, Contractor shall notify the District Designated Representative in writing as set forth herein, fully investigate the Security Breach, cooperate fully with the District’s investigation of and response to the Security Breach, and use best efforts to prevent any further Security Breach at Contractor’s expense in accordance with applicable privacy laws. Except as otherwise required by law, Contractor shall not provide notice of the Security Breach directly to individuals whose Personally Identifiable Information was involved, to regulatory agencies, or to other entities, without first providing written notice to the District’s Designated Representative.

Immediately upon becoming aware of a Security Breach, or a complaint of a Security Breach, Contractor Partner shall notify the District Designated Representative in writing as set forth herein, fully investigate the Security Breach, cooperate fully with the District’s investigation of and response to the Security Breach, and use best efforts to prevent any further Security Breach at ContractorPartner’s expense in accordance with applicable privacy laws. Except as otherwise required by law, Contractor Partner shall not provide notice of the Security Breach directly to individuals whose Personally Identifiable Information was involved, to regulatory agencies, or to other entities, without first providing written notice to the District’s Designated Representative.

Response. Immediately Promptly upon becoming aware of a Security Breach, or a complaint of a Security Breach, Contractor shall notify the District Designated Representative in writing as set forth herein, fully reasonably investigate the Security Breach, cooperate fully reasonably with the District’s investigation of and response to the Security Breach, and use best reasonable efforts designed to prevent any further Security Breach at Contractor’s expense in accordance with applicable privacy laws. Except as otherwise required by law, Contractor shall not provide notice of the Security Breach directly to individuals whose Personally Identifiable Information was involved, to regulatory agencies, or to other entities, without first providing written notice to the District’s Designated Representative.

Immediately As soon as reasonably practicable, and in accordance with applicable laws, upon becoming aware of a Security Breach, or a complaint confirmation of a Security Breach, Contractor shall notify the District Designated Representative in writing as set forth herein, fully investigate the Security Breach, cooperate fully with the District’s investigation of and response to the Security Breach, and use best efforts to prevent any further Security Breach at Contractor’s expense in accordance with applicable privacy laws. Except as otherwise required by law, Contractor shall not provide notice of the Security Breach directly to individuals whose Personally Identifiable Information was involved, to regulatory agencies, or to other entities, without first providing written notice to the District’s Designated Representative.

The aforementioned restriction shall not prevent Contractor from issuing a general announcement or notice to its community of users in order to guarantee prompt notification of the eventual Security Breach.

Immediately Within 72 hours upon becoming aware of a confirmed Security Breach, or a complaint of a Security Breach, Contractor shall notify the District Designated Representative in writing as set forth herein, fully investigate the Security Breach, cooperate fully with the District’s investigation of and response to the Security Breach, and use best efforts to prevent any further Security Breach at Contractor’s expense in accordance with applicable privacy laws. Except as otherwise required by law, Contractor shall not provide notice of the Security Breach directly to individuals whose Personally Identifiable Information was involved, to regulatory agencies, or to other entities, without first providing written notice to the District’s Designated Representative.

Immediately Within seventy-two (72) hours upon becoming aware of a Security Breach, or a complaint of a Security Breach, Contractor shall notify the District Designated Representative in writing as set forth herein, fully investigate the Security Breach, cooperate fully with the District’s investigation of and response to the Security Breach, and use best efforts to prevent any further Security Breach at Contractor’s expense in accordance with applicable privacy laws. Except as otherwise required by law, Contractor shall not provide notice of the Security Breach directly to individuals whose Personally Identifiable Information was involved, to regulatory agencies, or to other entities, without first providing written notice to the District’s Designated Representative.

Except as otherwise required by law, Contractor shall not provide notice of the Security Breach directly to individuals whose Personally Identifiable Information was involved, to regulatory agencies, or to other entities, without first providing written notice to the District’s Designated Representative.

Response. Immediately Without undue delay, upon becoming aware of a Security Breach, or a complaint of a Security Breach, Contractor shall notify the District Designated Representative in writing as set forth herein, fully investigate the Security Breach, cooperate fully with the District’s investigation of and response to the Security Breach, and use best commercially reasonable efforts to prevent any further Security Breach at Contractor’s expense in accordance with applicable privacy laws. Except as otherwise required by law, Contractor shall not provide notice of the Security Breach directly to individuals whose Personally Identifiable Information was involved, to regulatory agencies, or to other entities, without first providing written notice to the District’s Designated Representative.
