Common use of Responsibilities of the Client Clause in Contracts

Responsibilities of the Client. a) The Client shall make all Payments in accordance with Schedule B and shall at all times act in good faith. The Client hereby covenants and agrees that Client shall cooperate with the Company and its representatives, including structural or environmental engineers, to permit such parties to carry out the Work, including providing safe and reasonable access to the Property. If custom Equipment is ordered on behalf of Client, Client is fully responsible for purchasing such custom Equipment once the Agreement is signed. b) Installed Equipment may require internet connectivity to be maintained in support of the manufacturer's warranty terms. The Client is responsible for maintaining adequate internet access at the property, per the manufacturer requirements. The Company is not responsible for warranty claims being denied if internet connectivity requirements are not met. c) The Client is responsible for signing all required utility agreements including the utility interconnection agreement. Without signing the required agreements with the utility, the Client may not be able to net meter or operate the Electrification System. d) The Client shall provide the Company and its representatives safe and convenient access to the Property as required to perform the Work, including but not limited to access to the electrical panel(s) and structural information (including building plans or access to the roof, attic, rafters and/or trusses). If building plans or access to the rafters/trusses are unavailable (e.g., the Property has vaulted ceilings or no attic access), the Client agrees to pay for a third party inspection and the parties will agree to any required adjustment to the Scope of Work in a signed Change Order. The third party inspection may require cutting into finished areas of the Property to obtain access. Costs for the third party inspection will be agreed upon in a signed Change Order. e) The Client is responsible for removing or covering items inside or outside the Property that might be soiled or damaged by performance of the Work. f) The Client represents and warrants that there are no restrictions or covenants applicable to the Property that would prevent completion of the Scope of Work. g) Following installation of the Electrification System, the Client is responsible for adhering to all maintenance, cleaning, and related guidance in the Equipment Materials. If the Client’s Scope of Work includes a Solar Energy Production System, the solar panels need to be cleaned in accordance with the Equipment Materials. The Company recommends contacting a professional cleaner or contractor to clean the Electrification System.
