Restricted Customers. During the Term and any transition period following the expiration or termination of this Agreement, the Company shall not knowingly solicit (excluding general solicitations, publications and advertisements not specifically targeted to any existing Zix customers or their affiliated entities) to provide the Zix Software/Service to any existing Zix customers or their affiliated entities, or contract to provide the Zix Software/Service to any existing Zix customers or their affiliated entities. Notwithstanding the preceding sentence, if the Company desires to solicit (other than the permitted solicitations), or contract with, any of the Zix referenced customers (or affiliates), then the Company may contact Zix to discuss the matter, following which the parties might determine to negotiate a mutually agreeable resolution.
