Restricted Definitive Notes to Unrestricted Definitive Notes Clause Samples
The "Restricted Definitive Notes to Unrestricted Definitive Notes" clause governs the process by which holders of restricted securities can exchange them for unrestricted securities, typically after certain regulatory requirements or holding periods have been satisfied. In practice, this clause outlines the conditions under which a noteholder may request the removal of transfer restrictions, such as providing legal opinions or certifications, and describes the procedures the issuer must follow to issue new, freely transferable notes. Its core function is to facilitate liquidity for investors by enabling the conversion of restricted notes into instruments that can be more easily traded in the open market once restrictions are no longer necessary.
