Restricted Usage. You, the Licensee, understand and agree to the following restrictions on the use of Licensed Content. Without limiting the generality of the foregoing restriction, Licensees are prohibited from producing, developing, or otherwise creating backgrounds, video or still, or a grouping of backgrounds that are substantially similar to ▇▇ ▇▇▇▇▇▇ & WORLDWIDE SANTA CLAUS NETWORK, LLC’S Licensed Content. Examples of prohibited activity include: (a) a similar background that has been modified by adding, subtracting, or in any other way altering the Licensed Content and then offering it as a product in any way; and (b) allowing Licensed Content to be placed on a membership group site for access by members of the group. If you desire to develop an End Product for such uses, additional licensing is required and fees may apply. ● Unlawful Use – You, the Licensee, will not use Licensed Content in any defamatory manner, or in violation of any applicable laws. ● Pornographic Use – You, the Licensee, will not use Licensed Content in relation to any pornographic subject matter. ● Sensitive Use Disclaimer –You, the Licensee, will not use Licensed Content in connection with subject matter that could be interpreted as controversial in nature. ● You, the Licensee, shall not use the Licensed Content in any way that might be considered libelous, obscene, including drug or alcohol use, tobacco use, violent, content deemed appropriate for mature audiences only, or in any immoral or illegal way. ● You, the Licensee, shall not use the Licensed Content for any National/International Broadcast- commercial, TV, motion picture, cinematography film, or photoplay with a production budget of more than $45,000. ● You, the Licensee, shall not use the Licensed Content for any Internet or television commercial, including cable channels, with a budget of more than $5,000 for production & airing. ● You, the Licensee, shall not use the Licensed Content for any internet or television, including cable channels, shows with a budget of more than $7,500 per episode. ● You, the Licensee, shall not use the Licensed Content and Movie- motion picture, cinematography film or photoplay with a production budget of more than $50,000. ● You, the Licensee, shall not use the Licensed Content to create digital templates unless such templates are used solely for marketing Licensee’s own business. Resale of digital templates that include Video Background is strictly prohibited. ● You, the Licensee, shall have no redistribution rights except as included in your End Product. ● You, the Licensee, shall not use the Video Background in any manner or context that is likely to result in bringing ▇▇ ▇▇▇▇▇▇ & WORLDWIDE SANTA CLAUS NETWORK, LLC public disrespect, scandal, ridicule, or which would otherwise detract from the public image of ▇▇ ▇▇▇▇▇▇ & WORLDWIDE SANTA CLAUS NETWORK, LLC. ● You, the Licensee, will not falsely represent that they are the original creator of the Licensed Content. The use of licensed images without attribution is not considered False Representation. ● You, the Licensee, will not use Licensed Content for the creation or production of on-demand or made-to-order products, such as, but not limited to, postcards, mugs, t-shirts, calendars or computer desktop wallpapers. ● You, the Licensee, will not use Licensed Content for the creation of digital templates intended for resale or other distribution. ● You, the Licensee, may not use the Video Background in any way that allows others to download, extract, or redistribute Licensed Content as a standalone file (meaning just the content file itself, separate from the project or end use) or print an image upon merchandise, such as mugs, t-shirts, business cards (e.g. ▇▇▇▇▇▇.▇▇▇ or ▇▇▇▇▇▇▇▇▇.▇▇▇). ● You, the Licensee, may not use the Licensed Content to create digital templates unless such templates are used solely for marketing Licensee’s own business. Resale of digital templates that include Video Background is strictly prohibited. ● You, the Licensee, shall not redistribute Licensed Content, except as images from the Licensed Content may be incorporated into your End Products. ● You, the Licensee, may not incorporate Video Background into a logo, corporate ID, trademark or service mark. ● File Storage – You, the Licensee, will store only 2 copies of any Licensed Content file, and will not store such copies in any manner that allows for downloading or redistributing the file in its original format You, the Licensee, understand that ▇▇ ▇▇▇▇▇▇ & Worldwide Santa Claus Network, LLC retains all ownership and copyrights to Licensed Content. Any rights not expressly granted in this agreement are reserved by ▇▇ ▇▇▇▇▇▇ & Worldwide Santa Claus Network, LLC. You, the Licensee, are granted limited use of Worldwide Santa Claus Network or ▇▇ ▇▇▇▇▇▇ & Worldwide Santa Claus Network, LLC names and logos for the purpose of attribution. ▇▇ ▇▇▇▇▇▇ & Worldwide Santa Claus Network, LLC may terminate this agreement at any time if the Licensee breaches the terms of this or any other agreement with ▇▇ ▇▇▇▇▇▇ & Worldwide Santa Claus Network, LLC. When this agreement is terminated, the Licensee agrees to cease using Licensed Content specified by ▇▇ ▇▇▇▇▇▇ & Worldwide Santa Claus Network, LLC and destroy any stored copies of such data.

License is contingent on being an active (paid member) of the Silver, Gold, or Platinum membership levels of The Santa Claus Conservatory dot com. ▇▇ ▇▇▇▇▇▇ & Worldwide Santa Claus Network, LLC may terminate this agreement at any time if the Licensee breaches the terms of this or any other agreement with ▇▇ ▇▇▇▇▇▇ & Worldwide Santa Claus Network, LLC▇.
