Common use of Restrictions on General Partner Clause in Contracts

Restrictions on General Partner. The General Partner shall not take any action in contravention of this Agreement, including without limitation: (1) any action that would make it impossible to carry on the business of the Partnership in the ordinary course, except as expressly provided in this Agreement; (2) possess Partnership property, or assign rights in specific Partnership assets for other than a Partnership purpose, except as expressly provided in this Agreement; or (3) admit a Person as a Partner, except as otherwise expressly provided in this Agreement.

Restrictions on General Partner. The Notwithstanding the provisions of Section 5.1, the General Partner shall not take not, without the prior written consent of all of the Special Partners: (a) do any action act in contravention of this Agreement, including without limitation:; (1b) do any action that would make act which makes it impossible to carry on the business business, affairs and undertaking of the Partnership in the ordinary course, except as expressly provided in this Agreement; (2) possess Partnership property, or assign rights in specific Partnership assets for other than a Partnership purpose, except as expressly provided in this AgreementPartnership; or (3c) admit a Person as a Partnercarry-on any business, except as otherwise expressly provided in this Agreementaffairs and undertaking other than the Business.
