Restrictions on Parent and the Company Clause Samples

The 'Restrictions on Parent and the Company' clause sets out specific limitations on the actions that the parent entity and the company itself may undertake during the term of an agreement. Typically, this clause may prohibit activities such as entering into competing transactions, making significant changes to business operations, or incurring new debt without prior consent. By clearly defining what the parent and the company can and cannot do, this clause helps prevent actions that could undermine the agreement’s objectives or negatively impact the interests of the other party.
