Common use of Restrictive Documents Clause in Contracts

Restrictive Documents. Neither the Company nor the Shareholder is subject to, or a party to, any charter, bylaw, mortgage, lien, lease, license, permit, agreement, contract, instrument, law, rule, ordinance, regulation, order, judgment or decree, or any other restriction of any kind or character, that materially adversely affects the business practices, operations or condition of the Company or any of its assets or property, or that would prevent consummation of the transactions contemplated by this Agreement, compliance by the Shareholder or the Company with the terms, conditions and provisions hereof or the continued operation of the Company's business after the date hereof or the Closing Date on substantially the same basis as heretofore operated or that would restrict the ability of the Company to acquire any property or conduct business in any area.

Neither of the Company Companies nor the Shareholder Seller is subject to, or a party to, any charter, bylawby-law, mortgage, lien, lease, license, permit, agreement, contract, instrument, law, rule, ordinance, regulation, order, judgment or decree, or any other restriction of any kind or characterkind, that materially which adversely affects the business practices, operations or condition of the Company Companies or any of its their respective assets or property, or that which would prevent consummation of the transactions contemplated by this Agreement, compliance by the Shareholder or the Company Seller with the terms, conditions and provisions hereof hereof, or the continued operation of the Company's business Companies' respective businesses after the date hereof or the Closing Date on substantially the same basis as heretofore operated or that which would restrict the ability of either of the Company Companies to acquire any property or conduct business in any area.
