Common use of Retailer Content Clause in Contracts

Retailer Content. Retailer agrees that it is solely responsible for all content, materials and information provided by Retailer or that Retailer (or any third party acting on behalf of Retailer) creates, transmits or displays while using the Services (“Retailer Content”) and for the consequences of these actions (including any loss, liability, fine or damage.) Shift Digital reserves the right (but shall have no obligation) to pre-screen, review, flag, filter, modify, refuse or remove any or all Retailer Content from any Service in Shift Digital’s sole discretion. Retailer represents, warrants and covenants that the Retailer Content shall not contain anything that infringes copyrights, trademarks, publicity or any other rights of others; violates any law or regulation, is defamatory or libelous; is abusive, harassing, or threatening; is obscene, vulgar, or profane; or violates someone's privacy.
