Retain Existing Full-time Jobs. a. Throughout the term of this Agreement the Company shall retain at least 2,768 full-time jobs at its Combined Operations. To count towards satisfaction of this provision, each retained job must be a full-time job performed in the City of Austin by an employee of NXP USA, Inc. who was employed by NXP USA, Inc. as of the Effective Date of this Agreement (the "Existing Job"). b. If on December 31 of any year during the term of this Agreement the number of Existing Jobs retained is less than 2,768 at the Company’s Combined Operations, the number of New Full-Time Jobs required at the Combined Operations under sections 1.2.02 and 1.2.03 shall be increased job for job by the amount of the deficit in Existing Jobs.
