Common use of Retention of Proxy Solicitation Agent Clause in Contracts

Retention of Proxy Solicitation Agent. The Parties shall use their reasonable efforts to retain a proxy solicitation agent mutually acceptable to the Parties, within ten (10) Business Days of execution of this Agreement to assist the Parties with preparing the Proxy Statement and soliciting Purchaser’s shareholders to obtain the affirmative vote of the Purchaser’s shareholders in favor of the Merger, and such other matters as may be determined by the Parties.

Retention of Proxy Solicitation Agent. The Parties shall use their reasonable efforts to retain a proxy solicitation agent mutually acceptable to the Parties, within ten (10) Business Days of execution of this Agreement to assist the Parties with preparing the Proxy Statement and soliciting Purchaser’s shareholders stockholders to obtain the affirmative vote of the Purchaser’s shareholders stockholders in favor of the Merger, and such other matters as may be determined by the Parties.

The Parties shall use their reasonable efforts to retain a proxy solicitation agent on terms mutually acceptable to the Parties, Parties within ten (10) Business Days of execution of this Agreement to assist the Parties with preparing the Proxy Statement and soliciting PurchaserSPAC’s shareholders to obtain the affirmative vote of the PurchaserSPAC’s shareholders in favor of the MergerMerger and the other SPAC Transaction Proposals, and such other matters as may be determined by the Parties.
