Retransmission Consents Sample Clauses

Retransmission Consents. With respect to any retransmission consent agreements for broadcast signals carried on the AT&T Systems on the date of this Agreement and on the date of the Closing that are included as part of the AT&T Excluded Assets, all required retransmission consents for continued carriage of such broadcast signals by Insight have been obtained on terms and conditions reasonably acceptable to Insight.

Retransmission Consents. Buyer shall have obtained ----------------------- authorization, on terms reasonable and customary in the industry for cable system operators and broadcast stations of similar size, to carry KCBS, KNBC, KABC, KTTV, KTLA and KCOP on the System from and after Closing.

Retransmission Consents. With respect to any retransmission ----------------------- consent agreements for broadcast signals carried on the Continental Systems that are included as part of the Continental Excluded Assets, all required retransmission consents for continued carriage of such broadcast signals have been obtained on terms and conditions reasonably acceptable to TCICP. With respect to any transmission consent agreements for broadcast signals that are carried on the TCICP Systems, TCICP shall have been relieved of any obligations under such retransmission consent agreements after the Closing Date or indemnified by Continental with respect thereto to the reasonable satisfaction of TCICP.

Retransmission Consents. Prior to the Closing, the Buyer and the Seller shall use commercially reasonable efforts to cause any Retransmission Consent Agreement to which the Seller is a party that is assignable to be assigned to Buyer at the Closing.

Retransmission Consents. Except as disclosed on Schedule 5.20, no monies are being paid for retransmission consents with respect to the Systems, and Seller is not a party to any contract which obligates it to pay monies for retransmission of signals with respect to the Systems.

Retransmission Consents. Company shall, and shall cause each Company ----------------------- Subsidiary to, use commercially reasonable efforts to renew each retransmission consent agreement to which it is a party, on terms which are not materially more adverse to Company or such Company Subsidiary, as applicable, than such retransmission consent agreement as in effect on the date hereof. Company shall not, and shall cause each Company Subsidiary not to, renew any retransmission consent agreement to which it is a party on terms which are materially more adverse to Company or such Company Subsidiary, without the consent of Merger Partner, such consent not to be unreasonably withheld.

Retransmission Consents. Enter into any agreement with ----------------------- respect to the retransmission of signals of commercial stations, Buyer's consent to such agreement not to be unreasonably withheld, provided, however, that Buyer shall not be required to consent to any such agreement which would require a payment by Buyer;
