Common use of Return of Note Clause in Contracts

Return of Note. Following a conversion of this Note in accordance with this Section 4, the Holder shall as soon as practicable and in no event later than two (2) Business Days after such conversion and at its own expense, surrender this Note to a nationally recognized overnight delivery service for delivery to the Company (or an indemnification undertaking with respect to this Note in the case of its loss, theft or destruction as contemplated by Section 14(b)). If this Note is physically surrendered for conversion and the outstanding Principal of this Note is greater than the Principal portion of the Conversion Amount being converted, then the Company shall as soon as practicable and in no event later than two (2) Business Days after receipt of this Note and at its own expense, issue and deliver to the Holder (or its designee) a new Note (in accordance with Section 14(d)) representing the outstanding Principal not converted.

Return of Note. Following a conversion of this Note in accordance with this Section 45, the Holder Noteholder shall as soon as practicable (and in no event later than two (2) Business Days Days) after such conversion and at its own expense, surrender this Note to a nationally recognized overnight delivery service for delivery to the Company Issuer (or an indemnification undertaking with respect to this Note in the case of its loss, theft or destruction as contemplated by Section 14(b)). If this Note is physically surrendered for conversion and the outstanding Principal of this Note is greater than the Principal portion of the Optional Conversion Amount being converted, then the Company Issuer shall as soon as practicable (and in no event later than two (2) Business Days Days) after receipt of this Note and at its own expense, issue and deliver to the Holder Noteholder (or its designee) a new Note (in accordance with Section 14(d14(c)) representing the outstanding Principal not converted.
