Common use of Return or Destroy Clause in Contracts

Return or Destroy. A Receiving Party will, upon written request of the Disclosing Party (1) destroy all received Proprietary Information, including copies, then in its possession or control, or (2) return all such Proprietary Information and copies to the Disclosing Party.

Return or Destroy. A Receiving receiving Party willshall, upon written request of the Disclosing Party (1) request, use reasonable efforts to destroy all received Proprietary Information, including copies, then in its possession or control. Alternatively, or (2) a receiving Party may use reasonable efforts to return all such Proprietary Information and copies to the Disclosing originating Party. A receiving Party may retain one archival copy of received Proprietary Information.
