Common use of Return or Destruction of PHI upon Termination Clause in Contracts

Return or Destruction of PHI upon Termination. Upon termination of this Agreement, Modernizing Medicine shall return or destroy all PHI received from Medical Practice or created or received by Modernizing Medicine on behalf of Medical Practice and which Modernizing Medicine still maintains as PHI. Notwithstanding the foregoing, to the extent that Modernizing Medicine determines, in its sole discretion, that it is not feasible to return or destroy such PHI, this Addendum (including, without limitation, Section 2.1(d) of this Addendum) shall survive termination of this Agreement and such PHI shall be used or disclosed solely for such purpose or purposes which prevented the return or destruction of such PHI.
