REVERSIBILITY. In case of termination or expiration of the Contract, at the Purchaser’s request, the Supplier shall ensure the reversibility of the Supply performed within the context of the Contract in compliance with the reversibility plan described in the Contract by in particular implementing all material, logistic and human resources. The objective is to allow the Purchaser to pursue and/orhaveathirdpartyofitschoicewhichshallpursuethe Supplyinwholeorinpart,provided that the continuity of the Supply shall be maintain within the context of the Contract without impacting their quality. This reversibility plan is drafted and proposed by the Supplier and subject to the Purchaser’s approval. The reversibility plan shall be mutually agreed by the Parties. The Supplier shall ensure the technical training and transfer of skills in order the Purchaser shall pursue the Supply. At the Customer's request, sent by registered letter with acknowledgement of receipt at the latest on the effective date of termination or expiration of the Contract, the Service Provider shall return all the Data belonging to it in a readable standard electronic format, in an environment equivalent to that of the Service Provider, within a period of five thirty (530) working days [A validate] from the date of receipt of the request. REVERSIBILITY. This section applies at the end of a subscription to one or more TEHTRIS Solutions not renewed by the User and/or in the event of termination of the Agreement for any reason whatsoever except in the event of termination for fault by the User. Before the date of termination or expiration of subscriptions in case of non-renewal, as well as before proceeding with deletion operations, it is the User's sole responsibility to carry out any operation (such as backup, transfer to a third party solution, etc.) necessary for the conservation of his Data. TEHTRIS undertakes, with the exception of the cases mentioned in the section "Property", to destroy at its expense all Data sent by the User. Upon expiration or termination of this Agreement, including partial termination of Services by Customer pursuant to Article 16.2 (the “Reversibility Event”), Service Provider shall promptly return all Technical Records and all copies thereof to Customer, but not later than 15 days after the Reversibility Event. On the date of the Reversibility Event, Service Provider shall grant to Customer a non-exclusive, transferable, sub-licensable, fully paid-up, world-wide license, under all Service Provider’s intellectual property rights, for the entire duration of protection of said rights (i) to reproduce, copy, represent, publish, broadcast, market, sell, dispose and/or distribute the Derived Licensed Technology, in whole or in part, on any media and by whatever process or means, present or future, known or unknown as at the date hereof, without any limitation, such as but not limited to print, analog, digital, magnetic, the internet or any other medium or communication or broadcasting system or network; (ii) to adapt, translate in any language, modify, correct, enhance, improve, integrate in existing or future works, in total or in part, the Derived Licensed Technology; (iii) to use the Derived Licensed Technology in the broadest possible manner for any internal, personal and business purposes, whether presently existing or developed in the future by Customer, its affiliates or its heirs, successors or assigns; and (iv) to license, sublicense, assign, or transfer, in whole or in part, definitively or temporarily, any of the above-mentioned rights. REVERSIBILITY.
