Common use of Right of Contribution in Favour of Others Clause in Contracts

Right of Contribution in Favour of Others. The Corporation hereby acknowledges and agrees that, with respect to paragraphs 10 and 11 hereof, the Underwriter is contracting on its behalf and as agent for its affiliates and for its and its affiliates' directors, officers, employees and agents (collectively, the "Beneficiaries"). In this regard the Underwriter shall act as trustee for the Beneficiaries of the Corporation's covenants under paragraphs 10 and 11 hereof with respect to the Beneficiaries and accept these trusts and shall hold and enforce the covenants on behalf of the Beneficiaries.

The Corporation hereby acknowledges and agrees that, with respect to paragraphs 10 and 11 hereof, the Underwriter is contracting on its behalf and as agent for its affiliates and for its and its affiliates' ’ directors, officers, employees and agents (collectively, the "“Beneficiaries"”). In this regard the Underwriter shall act as trustee for the Beneficiaries of the Corporation's ’s covenants under paragraphs 10 and 11 hereof with respect to the Beneficiaries and accept these trusts and shall hold and enforce the covenants on behalf of the Beneficiaries.

In this regard the Underwriter Underwriters shall act as trustee trustees for the Beneficiaries of the Corporation's ’s covenants under paragraphs 10 1 and 11 hereof 2 of this Schedule A with respect to the Beneficiaries and accept these trusts and shall hold and enforce the covenants on behalf of the Beneficiaries.

The Corporation Company hereby acknowledges and agrees that, with respect to paragraphs 10 Sections 13 and 11 14 hereof, the Underwriter is Underwriters are contracting on its their behalf and as agent for its affiliates and for its and its affiliates' directors, officers, employees and agents the other Indemnified Parties (collectively, the "“Beneficiaries"”). In this regard the Underwriter Underwriters shall act as trustee for the Beneficiaries of the Corporation's Company’s covenants under paragraphs 10 Sections 13 and 11 14 hereof with respect to the Beneficiaries and accept accepts these trusts and shall hold and enforce the covenants on behalf of the Beneficiaries.
