Right of Contribution in Favour of Others. With respect to this Section 13, the Corporation acknowledges and agrees that the Agents are contracting on their own behalf and as agent for their affiliates, directors, officers, employees and agents. For purposes of this Section 13, each person, if any, who “controls” an Agent within the meaning of Section 15 of the U.S. Securities Act or Section 20 of the U.S. Securities Exchange Act of 1934, as amended (the “U.S. Exchange Act”), and the Agents’ affiliates and selling agents shall have the same rights to contribution as the Agents and each person, if any, who “controls” the Corporation within the meaning of section 15 of the U.S. Securities Act or section 20 of the U.S. Exchange Act shall have the same rights to contribution as the Corporation.
