Common use of Right of Contribution in Favour of Others Clause in Contracts

Right of Contribution in Favour of Others. With respect to this Section 12, the Corporation acknowledges and agrees that the Agents are contracting on their own behalf and as agents for their affiliates, directors, officers, employees and agents. For purposes of this Section 12, each person, if any, who controls an Agent within the meaning of Section 15 of the U.S. Securities Act or Section 20 of the U.S. Exchange Act and each Agents’ affiliates and selling agents shall have the same rights to contribution as such Agent and each person, if any, who controls the Corporation within the meaning of Section 15 of the U.S. Securities Act or Section 20 of the U.S. Exchange Act shall have the same rights to contribution as the Corporation. The Agents’ respective obligations to contribute pursuant to this Section 12 are several in proportion to the percentages of Agents’ Fee set forth opposite their respective names in Section 5(a) hereof and not joint.

For purposes of this Section 12, each person, if any, who controls an Agent Underwriters within the meaning of Section 15 of the U.S. Securities Act or Section 20 of the U.S. Exchange Act and each Agents’ Underwriter’s affiliates and selling agents shall have the same rights to contribution as such Agent Underwriter and each person, if any, who controls the Corporation within the meaning of Section 15 of the U.S. Securities Act or Section 20 of the U.S. Exchange Act shall have the same rights to contribution as the Corporation. The AgentsUnderwriters’ respective obligations to contribute pursuant to this Section 12 are several in proportion to the percentages of Agents’ Fee Offered Units set forth opposite their respective names in Section 5(a15(a) hereof and not joint.

For purposes of this Section 1220, each person, if any, who controls an Agent Underwriter within the meaning of Section 15 of the U.S. Securities Act or Section 20 of the U.S. Exchange Act and each Agents’ Underwriter’s affiliates and selling agents shall have the same rights to contribution as such Agent Underwriter and each person, if any, who controls the Corporation within the meaning of Section 15 of the U.S. Securities Act or Section 20 of the U.S. Exchange Act shall have the same rights to contribution as the Corporation. The AgentsUnderwriters’ respective obligations to contribute pursuant to this Section 12 20 are several in proportion to the percentages of Agents’ Fee Shares set forth opposite their respective names in Section 5(a23(a) hereof and not joint.

For purposes of this Section 1215, each person, if any, who controls an Agent within the meaning of Section 15 of the U.S. Securities Act or Section 20 of the U.S. Exchange Act and each Agents’ Agent’s affiliates and selling agents shall have the same rights to contribution as such Agent and each person, if any, who controls the Corporation within the meaning of Section 15 of the U.S. Securities Act or Section 20 of the U.S. Exchange Act shall have the same rights to contribution as the Corporation.
