Right of Offset; Compliance with Covenants Sample Clauses

The 'Right of Offset; Compliance with Covenants' clause grants one party the ability to deduct amounts owed to them by the other party from payments they are otherwise required to make under the agreement. In practice, if one party breaches a covenant or fails to fulfill an obligation, the non-breaching party can offset the value of the breach against any sums they owe, rather than pursuing separate collection efforts. This clause ensures that parties remain compliant with their contractual promises and provides a streamlined mechanism for resolving payment disputes, thereby reducing the risk of non-payment and simplifying enforcement.
