Common use of Right to Intervene Clause in Contracts

Right to Intervene. Prior to the Closing, in the event that any claim, demand, suit or other proceeding is instituted or threatened against the Purchaser relating to this Agreement or the Assets transferred to or the Assumed Liabilities assumed by the Purchaser hereunder, the Seller shall have the right, at its discretion and expense, to intervene in such matter, and the Purchaser hereby agrees to give prompt and prior notice thereof to the Seller and consents to such intervention.
