Right to Intervene. In the event that any litigation is instituted against the Purchaser under or in connection with this Agreement, the Seller shall have the right in its sole discretion to intervene in such litigation and the Purchaser does hereby consent to such intervention.

Right to Intervene. In the event that any litigation claim, protest, suit or other proceeding is instituted or threatened against the Purchaser under or in connection with relating to this Agreement, other Assets or liabilities transferred to or assumed by the Purchaser hereunder, the Seller shall have the right in right, at its sole discretion and expense, to intervene in such litigation matter, and the Purchaser does hereby consent agrees to give prompt and prior notice thereof to the Seller and consents to such intervention.
