Right to Retain the Construction Inspector. The Banks acting through the Agent shall have the right to retain, at the Borrower's cost and expense, the Construction Inspector to perform the following services on behalf of the Banks: (a) to review and advise the Agent and the Banks as to the current status of the Project and the Project Budget; (b) to review and advise the Agent and the Banks whether in the opinion of the Construction Inspector, the Project Budget accurately reflects all Project Costs; (c) to review and advise the Agent and the Banks whether, in the opinion of the Construction Inspector, the Plans and Specifications are satisfactory for the intended purposes thereof; (d) to make periodic inspections (approximately at the date of each Draw Request) for the purpose of assuring that construction of the Improvements to date is in accordance with the Plans and Specifications and to approve the Borrower's then current Draw Request as being consistent with the Project Budget and the Borrower's obligations under this Agreement, and to advise the Agent and the Banks of the anticipated cost of and time for completion of construction of the Improvements and the adequacy of any Contingency Reserve; (e) to review and advise the Agent and the Banks on any proposed change orders or construction change directives; and (f) to review the Construction Contract and subcontracts, for the purpose of providing the Agent and the Banks with an opinion as to the cost of construction to be incurred to complete the Project, and also for the purpose of assuring that all such subcontracts are for work required by the Plans and Specifications to be performed. The fees of the Construction Inspector shall be paid by the Borrower forthwith upon billing therefor and expenses incurred by the Banks or the Agent on account thereof shall be reimbursed to the Banks or the Agent as the case may be forthwith upon request therefor, but neither the Banks, the Agent nor the Construction Inspector shall have any liability to the Borrower on account of (i) the services performed by the Construction Inspector, (ii) any neglect or failure on the part of the Construction Inspector to properly perform its services, or (iii) any approval by the Construction Inspector of construction of the Improvements. Neither the Banks, the Agent nor the Construction Inspector assumes any obligation to the Borrower or any other Person concerning the quality of construction of the Improvements or the absence therefrom of defects.
Right to Retain the Construction Inspector. The Agent shall have the right to retain, at the Borrower's and the other Property Owners' cost and expense, a Construction Inspector to review construction budgets, contracts and schedules, make periodic inspections of construction of improvements at the Projects and to advise the Agent regarding all construction 83 92 matters at the Projects. The fees of the Construction Inspector shall be paid by the Borrower and the other Property Owner forthwith upon billing therefor, and expenses incurred by the Agent on account thereof shall be reimbursed to the Agent forthwith upon request therefor, but neither the Agent, the Lenders nor the Construction Inspector shall have any liability to the Borrower or any member of the Consolidated Group on account of the services performed by the Construction Inspector. Neither the Agent, the Lenders nor the Construction Inspector assumes any obligation to the Borrower or any other Person concerning the quality of construction of any Project improvements or the absence therefrom of defects.
Right to Retain the Construction Inspector. (a) The Lender shall retain, at the Borrower’s cost and expense (provided the same are commercially reasonable), the Construction Inspector to perform various services on behalf of the Lender, including, without limitation, to review the Project Budget and the Plans and Specifications, to make periodic inspections of the Project (near the date of each Draw Request) for the purpose of assuring that construction of the Improvements to date is substantially in accordance with the Plans and Specifications, to advise the Lender of the anticipated cost of and time for completion of construction of the Improvements and the adequacy of any Contingency Reserve and to review the Construction Contract and Key Contracts. (b) The reasonable fees of the Construction Inspector shall be paid by the Borrower within thirty (30) days of billing therefor and expenses incurred by the Lender on account thereof shall be reimbursed to the Lender by the Borrower within thirty (30) days of request therefor. (c) Neither the Lender nor the Construction Inspector shall have any liability to the Borrower on account of (i) the services performed by the Construction Inspector, (ii) any neglect or failure on the part of the Construction Inspector to properly perform its services, or (iii) any approval by the Construction Inspector of the construction of the Improvements. Neither the Lender nor the Construction Inspector assumes any obligation to the Borrower or any other Person concerning the quality of construction of the Improvements or the absence therefrom of defects.

  • Law; Construction This Agreement and any claim, counterclaim or dispute of any kind or nature whatsoever arising out of or in any way relating to this Agreement (“Claim”), directly or indirectly, shall be governed by, and construed in accordance with, the internal laws of the State of New York.

  • Legal Construction If one or more of the provisions contained in this Agreement shall for any reason be held invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provisions and this Agreement shall be construed as if it did not contain the invalid, illegal, or unenforceable provision.

  • DAF Construction The DAF shall be designed and constructed in accordance with Good Utility Practice. Within one hundred twenty (120) Calendar Days after the Commercial Operation Date, unless the Developer and Connecting Transmission Owner agree on another mutually acceptable deadline, the Developer shall deliver to the Connecting Transmission Owner and NYISO “as- built” drawings, information and documents for the DAF, such as: a one-line diagram, a site plan showing the Large Generating Facility and the DAF, plan and elevation drawings showing the layout of the DAF, a relay functional diagram, relaying AC and DC schematic wiring diagrams and relay settings for all facilities associated with the Developer’s step-up transformers, the facilities connecting the Large Generating Facility to the step-up transformers and the DAF, and the impedances (determined by factory tests) for the associated step-up transformers and the Large Generating Facility. The Developer shall provide to, and coordinate with, Connecting Transmission Owner and NYISO with respect to proposed specifications for the excitation system, automatic voltage regulator, Large Generating Facility control and protection settings, transformer tap settings, and communications, if applicable.
