Common use of Rights Not Transferable Clause in Contracts

Rights Not Transferable. The rights of the Company Holders as of immediately prior to the Effective Time are personal to each such Company Holder and shall not be transferable for any reason other than by operation of law, will or the laws of descent and distribution or with the prior written consent of Acquiror. Any attempted transfer of such right by any holder thereof (otherwise than as permitted by the immediately preceding sentence) shall be null and void.

Rights Not Transferable. The Subject to the remainder of this Section 2.4, the rights of the Company Holders Equityholders and the Company Noteholders (collectively, the “Company Holders”) under this Agreement as of immediately prior to the Effective Time are personal to each such Company Holder Holders and shall not be transferable for any reason other than without action taken by operation or on behalf of law, will or the laws of descent and distribution or with the prior written consent of Acquirorsuch Company Holders. Any attempted transfer of such right by any holder thereof (otherwise other than as permitted by the immediately preceding sentence) shall be null and voidvoid ab initio.
