All rights, claims, causes of action or rights of set-off against third parties, other than employees of the Sellers and their Affiliates who are not Transferred Employees, arising from the Assets, including unliquidated rights under manufacturers’ and vendors’ warranties (but excluding rights, claims, causes of action or rights of set-off against third parties to the extent arising (i) under any insurance policies of any Seller or any of its Affiliates (other than pursuant to Section 6.7) or (ii) from any Excluded Asset or Retained Obligation);
