Common use of Rights to Acquire Clause in Contracts

Rights to Acquire. Except as previously disclosed to ACCI, and except for the GPL Put/Call Option: (a) WSBI Organization does not have outstanding any preemptive or subscription rights, options, warrants, rights to convert, capital stock equivalents or other rights to purchase or otherwise acquire, now or in the future, any of its capital stock or other securities. (b) WSBI Organization does not have outstanding any stock appreciation rights or other rights granting to any person the right to be paid money or other property based on the value of securities of WSBI or GPL. (c) With the exception of the agreement between DeBaux and Jerry Ludeman which has be▇▇ ▇▇▇▇▇▇▇▇▇ to ACCI and the pledge of stock to secure the loan from ACCI to WSBI in accordance with the provisions of Section 5.3 hereof, there are no other agreements, restrictions or understandings to which WSBI Organization or DeBaux is a party with respect to the sale, transfer or voting of any shares of WSBI capital stock.
