The 'Rights to Sublicense or Subcontract' clause defines whether and how a party may grant some or all of its contractual rights or obligations to third parties. Rights to Sublicense or Subcontract. Except as set forth in Section 2.01(d), Licensee may not sublicense any of the rights granted to Licensee by Tetraphase hereunder, or subcontract any of Licensee’s obligations hereunder, except with (a) Tetraphase’s prior written consent, which consent may not be unreasonably withheld, delayed or conditioned (provided that Tetraphase’s prior written consent shall not be required with respect to any such sublicense to an Affiliate of Licensee), and (b) to the extent required under the Harvard Agreement, Harvard’s prior written consent. Whether or not Licensee is required to obtain Tetraphase’s consent to sublicense any rights hereunder, Licensee shall remain responsible for the acts or omissions of any of its Affiliates or sublicensees with respect to this Agreement.
Rights to Sublicense or Subcontract. Hutchmed may only sublicense any of the rights granted to Hutchmed by Epizyme under Section 2.1 or Exhibit D to: (a) without the need for review, consent or approval of Epizyme, an Affiliate of Hutchmed or Permitted Subcontractor or (b) a Third Party (other than those described in Section 2.4(a)) that has passed background screening to the reasonable satisfaction of Epizyme (including confirmation that such Third Party is not on any relevant exclusion or debarment list) and for which Epizyme provides prior written consent, which consent shall not be unreasonably withheld, conditioned, or delayed. Hutchmed may only subcontract any of Hutchmed’s obligations hereunder (subject to Sections 2.6(b) and 9.10) to Affiliates of Hutchmed or to Permitted Subcontractors. For clarity, a sublicense or subcontract to an Affiliate of Hutchmed shall automatically terminate if such entity ceases to be an Affiliate of Hutchmed, and, subject to Section 14.7(a), any sublicense or subcontract to an Affiliate of Hutchmed or a Third Party shall automatically terminate if the relevant license granted to Hutchmed by Epizyme under Section 2.1 terminates. Any sublicense to a Sublicensee shall be granted under a written agreement that is consistent with the applicable terms and conditions of this Agreement and that (i) requires each Sublicensee to comply with the terms of this Agreement that are expressly applicable to such sublicense including Sections 2.6(b), 2.7, and 2.8, the intellectual property provisions of Article 11, and the obligations of confidentiality and non-use at least as stringent as those set forth in Article 10 except that if, despite the good faith efforts of Hutchmed, a Sublicensee does not agree to terms at least as stringent as those set forth in Article 10, the term of such obligations shall be a customary duration given the nature of the sublicense and Sublicensee, but in no event less than the term of the sublicense plus [**], (ii) requires (to the extent applicable) each Sublicensee to make the representations, warranties, and covenants of Sections 12.2, 12.5, 12.6 and 12.7, (iii) precludes the granting of further sublicenses in contravention with the terms of this Agreement, and (iv) includes Epizyme as an intended third party beneficiary with the right to enforce the applicable terms of the sublicense agreement. Rights to Sublicense or Subcontract. Each Party shall ensure that all of its Affiliates, sublicensees and subcontractors comply with all applicable provisions of this Agreement, and shall remain responsible for the acts or omissions of such entities with respect to this Agreement.   • Right to Sublicense Company shall have the right to sublicense to any third party the rights conferred upon Company under this Agreement, subject to the following conditions: 2.4.1 Wistar shall have the right to approve in advance any Sublicensee if Company is not selling Licensed Product at the time of sublicensing negotiations, provided that such approval shall not be unreasonably withheld; and further provided, however, that such approval shall be deemed to have been given if Wistar does not object to the proposed Sublicensee within [**] ([**]) business days after Company notifies Wistar in writing of the name of such Sublicensee. 2.4.2 Any Sublicense shall be in writing, shall be consistent with all of the terms and conditions of this Agreement, and shall incorporate terms and conditions sufficient to enable Company to comply with this Agreement. Without limiting the foregoing, each Sublicense shall (i) provide that in the event Sublicensee brings a Patent Challenge against Wistar or assists another party in bringing a Patent Challenge against Wistar (except as required under a court order or subpoena or if legally compelled by an administrative agency) then Company may terminate the Sublicense, (ii) require Sublicensee to indemnify, hold harmless and defend Wistar and carry insurance under the same terms set forth in Article 6 below, and (iii)state that Wistar is an intended third party beneficiary of such Sublicense, including for the purpose of enforcing such termination, indemnification, and insurance provisions. 2.4.3 No Sublicensee shall be permitted to sublicense further any of its rights under any Sublicense.   • Sublicense Rights Licensee shall not have the right to grant sublicenses under the licenses granted to it under Section 2.1(a) (Development and Commercialization License to Licensee) and Section 6.3(d) (Use of Coherus Trademark), without the prior written consent of Coherus, which consent may be withheld [***], except with respect to [***], in which case [***]. If Coherus consents in writing to allow Licensee to grant a sublicense, then Licensee may grant such sublicense, through [***], subject to the following: (a) each Sublicensee shall agree to be bound by all of the applicable terms and conditions of this Agreement; (b) the terms of each sublicense granted by Licensee shall provide that the Sublicensee shall be subject to the terms and conditions of this Agreement; (c) Licensee’s grant of any sublicense shall not relieve Licensee from any of its obligations under this Agreement; (d) Licensee shall be liable for any breach of a sublicense by a Sublicensee to the extent that such breach would constitute a breach of this Agreement, and any breach of the sublicense by such Sublicensee shall be deemed a breach of this Agreement by Licensee to the extent that such breach would constitute a breach of this Agreement as if Licensee had committed such breach; provided, however, that in each instance of any breach, Licensee and/or Sublicensee shall have the right to cure any such breach pursuant to the terms of this Agreement; and (e) Licensee will notify Coherus of the identity of any Sublicensee, and the territory in which it has granted such sublicense, promptly after entering into any sublicense. Notwithstanding anything to the contrary in this Agreement, for clarity, Licensee shall not have the right to grant sublicenses under Section 2.1 (License Grants) to any Third Party to Manufacture Products or to conduct Process Development.
