Common use of Risk of Loss and Title Clause in Contracts

Risk of Loss and Title. For orders within the United States, Liquid Robotics will ship the Products, and risk of loss or damage to the Products and title thereto (excluding any intellectual property and software in the Products) shall pass to Customer FOB Liquid Robotics’ point of shipment. For orders outside the U.S., Liquid Robotics will ship the Products, and title and risk of loss or damage to the Products and title thereto (excluding any intellectual property and software in the Products) shall pass to Customer, Ex-Works (Incoterms 2000) Liquid Robotics’ point of shipment. Liquid Robotics will select the method of shipment and the carrier if Customer has not done so (and notified Liquid Robotics of its selection) at least ten (10) days prior to the Shipment Date and shall ▇▇▇▇ Customer accordingly.
