Rule 462(b) Registration Statement. If the Company elects to rely on Rule 462(b) under the 1933 Act Regulations, the Company shall both file a 462(b) Registration Statement with the Commission in compliance with Rule 462(b) and pay the applicable fees in accordance with Rule 111 of the 1933 Act Regulations by the earlier of (i) 9:00 p.m., Memphis time, on the date of this Agreement, and (ii) the time that confirmations are given or sent, as specified by Rule 462(b)(2).
