The Employee shall comply fully with the constitution (or other governing documents), bylaws, rules, regulations, policies, including self-imposed sanctions, procedures, sanctions, and standards of the University, the National Collegiate Athletic Association (the “NCAA”), the Big Ten Conference (the “Big Ten”), and any other athletics conference for which the University holds membership in the Employee’s sport of responsibility, including any amendments thereto or interpretative statements thereof issued by the relevant governing authority, or of any of their respective successors (collectively, the “Governing Rules”). The Employee further shall comply fully with any and all decisions, sanctions or other disciplinary action established or issued from time to time by, and any and all interpretations of the Governing Rules by, the University, including without limitation those of the University's Athletic Department (the “Athletic Department”), the NCAA, the Big Ten or any of their respective successors. The Employee's compliance obligations include strict adherence to all of the Governing Rules relating to the conduct and administration of the Team, including but not limited to those relating to recruiting. In the event that the Employee becomes aware, or has reasonable cause to believe, that violations of any of the Governing Rules may have taken place at the University as a result of an act or omission by the Employee or anyone for which Employee is responsible, the Employee shall report the same in writing promptly to the Vice President and Director of Athletics (the “Director of Athletics”), the Faculty Athletics Representative of the University or the athletics department compliance office. The Employee shall cooperate fully in any review or investigation of possible violations of any of the Governing Rules conducted or authorized by the University, the NCAA, the Big Ten or any successor of any of them. All additions, deletions or other changes or modifications during the Term to any of the Governing Rules (or interpretations thereof) shall automatically apply to this Agreement when such addition, deletion or other change or modification or interpretation is effective, without the necessity of a written modification of this Agreement.

4. Vendor must remain open from the beginning of the event until the end of the event each day.
5. Vendor site must be kept clean, and garbage discarded properly. Discarded food shall not be left on site after event. Cleaning up fees will be billed to vendor and vendor may be refused future participation in Railroad Days festivals.
6. Vendors must supply their own sign with their name and prices (if applicable) on it.

Head Coach shall comply with the applicable constitution, bylaws, laws, policies, rules, regulations, and/or enforcement structures of and governing Georgia Tech and its employees, the National Collegiate Athletic Association (“NCAA”), and of the Atlantic Coast Conference (“Conference”) (or any other conference or organization of which Georgia Tech is or may become a member during the term of this Agreement, or any extension thereof), as now constituted or as they may be amended during the term hereof. Head Coach shall be responsible for promoting an atmosphere of compliance through education, interpretation, and monitoring, and to practice active understanding and compliance with the aforesaid constitution, bylaws, laws, policies, rules, regulations, and/or enforcement structures. Head Coach shall have an affirmative obligation to monitor the Football programs for compliance matters and to follow the Protocol for Reporting and Investigating Violations, including immediate notification to the Associate Director of Athletics for Compliance in addition to the immediate supervisor and Sport Supervisor of any known or suspected violation and fully cooperate in the investigation and reporting thereof. Pursuant to NCAA Bylaw 11.1.1.1, the Head Coach is presumed to be responsible for the actions of all staff members who report, directly or indirectly, to the Head Coach. The Head Coach shall promote an atmosphere of compliance within his program and shall monitor the activities of all staff members involved with the program who report, directly or indirectly, to the Head Coach. The Head Coach has an affirmative obligation to cooperate fully in the NCAA infractions process, including the investigation and adjudication of a case as outlined by NCAA legislation.

To recognize and comply with the laws, policies, rules and regulations of the University, the National Collegiate Athletic Association (the “NCAA”), and the Atlantic Coast Conference (the “ACC”) as now constituted or as may be amended during the term hereof. The Coach shall be responsible, through education and monitoring, to ensure all staff, student athletes, guests and other persons under the Coach’s direction, supervision, invitation or control comply with the aforesaid policies, rules and regulations. The Coach shall be accountable for violations by any such staff, student athletes and persons, provided, with reasonable foresight and knowledge he should have prevented the occurrence. The Coach shall promptly inform the Compliance Officer of any suspected violation and assist the investigation and reporting thereof. Notwithstanding anything to the contrary contained in this Paragraph 3.3, the parties agree that any desired termination for “Cause” (as defined below) by the University in connection with the provisions of this Paragraph 3.3 shall be governed solely by the provisions and standards set forth in Paragraph 7.3.1.e, below.
