Common use of Rules for Termination Clause in Contracts

Rules for Termination. (1) No Party shall be entitled to withdraw from this Consortium Agreement and participation in the Project unless: • that Party has obtained the prior written approval from the Steering Committee and the Commission, to the withdrawal from the Contract; or • that Party's participation in the Contract is terminated by the Commission pursuant to the provisions of the Contract, Annex II or any other reason whatsoever. (2) Under no circumstances, such Party shall be relieved from: • its responsibilities under this Consortium Agreement or the Contract in respect of the part of that Party's work on the Project which has been carried out (or which should have been carried out) up to the date of withdrawal or termination; and • any of that Party's obligations or liabilities arising out of such withdrawal or termination.
