Common use of Sale and Assignment Clause in Contracts

Sale and Assignment. (a) Subject to the terms of the Asset Purchase Agreement, the Seller does hereby sell, transfer, convey and assign to the Purchaser all of the Seller’s right, title and interest as of the Closing Date in and to the Purchased Assets. (b) The Purchaser hereby accepts the transfer, assignment and conveyance of the Assumed Contracts and agrees from and after the date hereof to perform the obligations of the Seller under the Assumed Contracts.

Sale and Assignment. (bB) The Purchaser hereby accepts the transfer, assignment and conveyance of the Assigned Contracts and Assumed Contracts Leases and agrees from and after the date hereof to perform the obligations of the Seller under the Assigned Contracts and Assumed ContractsLeases.

(a) Subject to the terms and conditions of the Asset Purchase Agreement, the Seller does hereby sell, transferconvey, convey assign, transfer and assign to the Purchaser deliver unto Buyer, its assigns, transferees and successors, forever, all of the Seller’s 's right, title and interest as of the Closing Date in and to the Purchased Assets described in SECTION 1.1 of the Asset Purchase Agreement, subject to the Assumed Liabilities that relate to the Purchased Assets. (b) The Purchaser hereby accepts the transfer, assignment and conveyance of the Assumed Contracts and agrees from and after the date hereof to perform the obligations of the Seller under the Assumed Contracts.
