Common use of Sale Without Registration Clause in Contracts

Sale Without Registration. Anything in this Agreement to the contrary notwithstanding, if at any time the Company shall obtain a written opinion of legal counsel reasonably satisfactory to the Shareholder and addressed to the Company and the Shareholder to the effect that the Shares may be publicly offered for sale in the United States by the Shareholder without restriction as to manner of sale and amount of securities sold and without registration under the Securities Act, the Company shall no longer be obligated to file or maintain a registration statement with respect to the Shares pursuant to this Agreement. In such case, the Company shall issue to the Shareholder certificates representing the Shares without any legend restricting transfer and shall remove all stop transfer orders relating to the Shares, except for any legal or stock transfer order required by a shareholder or voting agreement to which the Shareholder is a party.
