SCOPE AND ENGAGEMENT. 1.1 Amgen shall place Orders and Supplier agrees to supply Goods and/or Services as described in the applicable Order to Amgen and/or Amgen Group members in accordance with these standard terms and conditions of purchase (together, this “Agreement”). Supplier will not be compensated unless authorized by a properly executed Order. Nothing attached by Supplier to any Order, including any additional terms or conditions of Supplier, may be construed to expand Amgen's obligations as set forth in this Agreement. Supplier’s execution or commencement of performance hereunder constitutes Supplier’s acceptance of this Agreement. Nothing contained herein shall obligate Amgen or any Amgen Group member to any exclusive relationship with Supplier or to purchase any minimum amount from Supplier or restrict Amgen or any Amgen Group member from contracting with any competitor of Supplier. In the event of conflict between these standard terms and conditions, the express terms of an Order, and, if applicable, a negotiated and fully executed agreement between the Parties pertaining to the Services contemplated in the corresponding Order (“Executed Agreement”), the order of precedence shall be the Executed Agreement, the terms of the corresponding Order and then these standard terms and conditions. This Agreement, along with the documents referred to in the Order and the Executed Agreement, if applicable, contains the entire agreement between the Parties with respect to the matters to which it refers, and contains everything the Parties have negotiated and agreed upon. It replaces and annuls any and all prior or contemporaneous agreements, communications, offers, proposals, representations, or correspondence, oral or written, exchanged or concluded between the Parties relating to the same subject matter, including any standard terms and conditions of Supplier. No modification of this Agreement will be effective unless made in writing and signed by an authorized representative of each Party.
SCOPE AND ENGAGEMENT. The scope of Services to be provided by the Contractor to the Principal is described in detail in Annex B: Technical Specification. The procedure for the provision of Services is further elaborated in Section IV of this Agreement.

Only the Principal (on behalf of itself or the respective Beneficiary representative) is entitled to and will separately and individually engage the Contractor for the provision of Services under Annex B: Scope of Services via separate Assignments under the terms of this Agreement.
SCOPE AND ENGAGEMENT. The Contractor Trend Program will envelope the scope of work under contract and will be owned by the Contractor Project Manager. As the senior leader, setting change management as a priority drives behavior and participation. While Contractor Project Controls may ‘keep the books’, the Contractor Project Manager sets the tone, and holds the project team accountable for promoting a cost and schedule conscious attitude. With the leadership protocol set, identification of change is open to everyone on the project. In the end, driving for wide understanding of ‘what’s in the budget’ and empowering everyone to raise a hand when they encounter something different, is the lifeblood of the program. The Contractor Trend Program will be administered on three fronts: (1) daily handling of individual trends in a consistent manner, (2) weekly meetings to review and adjudicate trends, and (3) monthly reporting of overall status of the program (metric-based information) including contingency balance. The basic process will be as follows:
SCOPE AND ENGAGEMENT. The scope of Services to be provided by the AsBo to the Principal and the Implementing Bodies shall include the provision of the Inception Report under Section IV. Inception Report and the Services provided on an on-demand basis under Annex B: Technical Specification. Only the Principal (on behalf of itself or the respective Implementing Body, including upon the Implementing Bodies request, as the case may be) is entitled to and will separately and individually engage the AsBo for the provision of Services under Annex B: Technical Specification via separate Assignments under the terms of this Agreement.

  • Reliance and engagement letters Each Finance Party and Secured Party confirms that each of the Arranger and the Agent has authority to accept on its behalf (and ratifies the acceptance on its behalf of any letters or reports already accepted by the Arranger or Agent) the terms of any reliance letter or engagement letters relating to the Reports or any reports or letters provided by accountants in connection with the Finance Documents or the transactions contemplated in the Finance Documents and to bind it in respect of those Reports, reports or letters and to sign such letters on its behalf and further confirms that it accepts the terms and qualifications set out in such letters.

  • Scope of Engagement Client hereby engages each of Arete and IndieBrokers to act as co-managers of the proposed Offering on a “Best Efforts” basis. Therefore, Client understands that there is no guarantee that the Co-Managers will be able to successfully complete the Offering or successfully assist Client in raising capital and neither Co-Manager has any obligation to purchase or sell any Securities. In addition, Client will be solely responsible for the following: a. Collection and handling of investor funds in a segregated account maintained at a national banking institution (the Co-Managers will not hold or have control over investor funds or securities); b. With respect to potential investors, who inquire through the Masterworks Platform, allocation of potential investors to be solicited by each Co-Manager; c. Execution of securities subscriptions and purchases through the Masterworks Platform; and d. The issuance of Securities directly to investors in the Offering.

A safe environment is important for staff and contributes to providing the highest possible standard of care. Staff should expect to work in and residents should expect to be treated in a respectful environment free from discrimination, harassment and workplace bullying. The Employer will publish a clear policy for promoting and maintaining a working environment in which all persons are treated with respect and dignity. These policies will be accessible to staff and the users of the facility.
