Scope of Information. Information delivered in tangible form is subject to this Section 15 if it has been identified or marked as confidential or otherwise subject to this Section 15. Information which is delivered orally is subject to this Section 15 without regard to whether it has been identified as confidential or subject to this Section 15. Each party agrees to use reasonable efforts to make or otherwise identify as proprietary or confidential all Information that it desires to be subject to the terms of this Section 15 before furnishing it to the other party, and upon request, a party shall promptly identify whether specified information must be held by the requesting party subject to this clause. Information which is delivered orally may be summarized in writing by the disclosing party and delivered to the receiving party within (45) days after disclosure thereof.
