Scope of Services; Performance. The consulting services covered by this Agreement (collectively, the “Services”) are described in detail on Exhibit A attached hereto. Subject to the specific limitations imposed herein and those resulting from the nature of the Services to be performed, the Consultant will exercise independent professional judgment in determining the method, details, and means of performing the Services. The Company does not propose to exercise any control over the method and manner of providing the Services. The Consultant will endeavor to perform the Services within a reasonable period of time, except for delays occasioned by factors beyond the Consultant’s control, by factors not reasonably foreseeable, or by factors initiated by the Company. No other warranty, express or implied, is made with respect to Services performed under this Agreement.
Scope of Services; Performance. 2.1 The performance of the Services shall in no manner and to no extent cause HeC to suffer any permanent and irrevocable loss, corruption, alteration, or destruction of HeC’s data, hardware, or software (“HeC’s Data”) with which Vendor interacts in the performance of the Services, or cause any failure in security. 2.2 The Vendor shall employ appropriate system testing and quality assurance measures to ensure the accuracy, reliability, and integrity of the Integration and Services, and shall report the findings of such testing to HeC. The Parties agree to work together to determine the source of performance problems and to resolve such problems.

All reports, costs estimates, plans and other documentation which may be submitted or furnished by CONSULTANT shall be approved and signed by an appropriate qualified licensed professional in the State of California. B. The title sheet for specifications and reports, and each sheet of plans, shall bear the professional seal, certificate number, registration classification, expiration date of certificate and signature of the design professional responsible for their preparation.

  • Scope of Services The specific scope of work for each job shall be determined in advance and in writing between TIPS Member, Member’s design professionals and Vendor. It is permitted for the TIPS Member to provide a general scope description, but the awarded vendor should provide a written scope of work, and if applicable, according to the TIPS Member’s design Professional as part of the proposal. Once the scope of the job is agreed to, the TIPS Member will issue a PO and/or an Agreement or Contract with the Job Order Contract Proposal referenced or as an attachment along with bond and any other special provisions agreed by the TIPS Member. If special terms and conditions other than those covered within this solicitation and awarded Agreements are required, they will be attached to the PO and/or an Agreement or Contract and shall take precedence over those in this base TIPS Vendor Agreement.

  • Performance of Services The Contractor is responsible for fully meeting all obligations set forth in the Contract and for providing Product in accordance with the Contract or any Authorized User Agreement.

  • Supply of Services 3.1 The Supplier agrees to supply the G-Cloud Services and any Additional Services under the terms of the Call-Off Contract and the Supplier’s Application. 3.2 The Supplier undertakes that each G-Cloud Service will meet the Buyer’s acceptance criteria, as defined in the Order Form.

  • Work Performance ▇▇▇▇▇▇ agrees that all Services performed hereunder shall be performed on a best effort basis by employees, students, faculty, graduate assistants and staff having an appropriate experience and skill level and in compliance with the statement of work.
