SEC Requirements. At Purchaser’s request, at any time after the Execution Date, upon reasonable advance notice, Sellers shall provide to Purchaser’s designated independent auditor reasonable access to the books and records of Sellers pertaining to the Property, and all related information regarding the period for which Purchaser is required to have the Property audited under the regulations of the Securities and Exchange Commission.

SEC Requirements. If Federal Law requires Tenant to provide the Securities and Exchange Commission ("SEC") with an electronic version of the final lease, Landlord shall cooperate with Tenant upon written request, provided, however, Tenant shall cooperate with Landlord and the SEC in redacting the Lease so that business terms of the Lease, including, without limitation, Annual Fixed Rent, shall be kept strictly confidential. Tenant shall not disclose the redacted electronic version of the Lease until Landlord reviews and approves the electronic version to be submitted to the SEC, which approval Landlord shall not unreasonably withhold. Landlord agrees that it shall have no right to require any particular redaction if the SEC refuses to accept the same. Landlord and Tenant cooperate in good faith to effect the provisions of this Section 8.21.

Seller has not and does not warrant the accuracy of its accounting records and Buyer shall not be entitled to rely upon the same as being true, correct, complete or accurate.
SEC Requirements. Sellers and Buyer shall cooperate with each other to fulfill any requirement of the Securities and Exchange Commission and other governmental or stock exchange requirements, including, without limitation, having Ernst & Young LLP provide any audited financial statements of the ▇▇▇▇▇▇▇▇ ▇▇▇▇▇'▇ division as of the prior fiscal year end. SEC Requirements. Seller grants Purchaser the right, at Purchaser’s sole expense, to prepare an audited income statement of the Property for the most recent fiscal year(s) as specified by Rule 3-14 of Regulation S-X under the Securities Act of 1933, as amended, and the Securities Exchange Act of 1934, as amended, and Seller shall provide and reasonably cooperate in obtaining any and all such other data and financial information that shall be reasonably available to Seller (including, without limitation, data and information obtainable from Seller’s management agent for the Property) and as advisable in connection with fulfilling Purchaser’s disclosure obligations as a public company subject to the rules and regulations of the Securities and Exchange Commission. If Seller fails to perform any of the covenants contained in this Section 9.3 hereof and such failure has a material adverse effect on the Property, and either Purchaser receives written notice thereof from Seller pursuant to the notice provisions hereof prior to Closing or Purchaser otherwise obtains actual knowledge of such failure prior to Closing, Purchaser shall have the rights and remedies available to Purchaser under Section 7.1 hereof, and if Purchaser elects to close and consummate the transaction contemplated by this Agreement in lieu of exercising its rights and remedies under Section 7.1 hereof, then such default by Seller shall be deemed to be waived by Purchaser at the Closing, and to the extent such default by Seller is the entering into by Seller of New Leases, new Service Contracts, new Mall Agreements, or any other agreements in violation of Section 9.3.1, Section 9.3.2 or Section 9.3.5 hereof, Purchaser shall at Closing accept such agreements.
