Common use of Secondary Liability Clause in Contracts

Secondary Liability. (a) No Group Company is, or will become, liable to make any person (including any Tax Authority) any payment in respect of any liability to Taxation which is primarily or directly chargeable against, or attributable to, any other person (other than a Group Company). (b) No Group Company has given any warranty, guarantee, indemnity or covenant to any other person in relation to Taxation under which it is or might be required to make a payment.
