Common use of Section 1445 Affidavit Clause in Contracts

Section 1445 Affidavit. An affidavit signed by each Shareholder, in form and substance reasonably satisfactory to Buyer, to the effect that such Shareholder is not a “foreign person,” “foreign corporation,” “foreign partnership,” “foreign trust” or “foreign estate” under Section 1445 of the Code and containing all such other information as is required to comply with the requirements of such Section, so that Buyer is exempt from withholding any amounts from the Purchase Price payable hereunder.
