The headings contained in this Release Agreement are for reference purposes only and shall not affect in any way the meaning or interpretation of this Release Agreement. Whenever the words “include” or “including” are used in this Release Agreement, they shall be deemed to be followed by the words “without limitation.” Capitalized terms not defined in this Release Agreement shall have the meaning given to such terms in the Agreement.

Co-Tenancy Agreement - The ELDORADO SYSTEM CONVEYANCE AND CO-TENANCY AGREEMENT BETWEEN NEVADA POWER COMPANY, THE DEPARTMENT OF WATER AND POWER OF THE CITY OF LOS ANGELES, SALT RIVER PROJECT AGRICULTURAL IMPROVEMENT AND POWER DISTRICT, and SOUTHERN CALIFORNIA EDISON COMPANY, dated December 20, 1967, as it may be amended from time to time. Connecting Facilities — The equipment and facilities approved to be added by the Eldorado Co-Owners, at SCE’s sole costs, to connect the 220 kV busses in the Eldorado 220 kV Switchyard to the 220 kV busses in the SCE 220 kV Switchyard for a limited transmission-only interconnection for the Interim Period, including, but not limited to, circuit breakers, disconnect switches, jumpers, bus extensions, metering, relaying devices, surge arrestors, and appurtenant facilities up to and including the connection to the respective A-frame structure located in the applicable bay positions, required for the termination of SCE’s 220 kV Switchyard. The Connecting Facilities shall not include the 220 kV busses in the Eldorado 220 kV Switchyard.

Applicable Reliability Standards - A requirement approved by the FERC under section 215 ofthe Federal Power Act and enforced by WECC to provide for the reliable operation of the Bulk Power System. The term includes requirements for the operation ofthe. existing Bulk Power System facilities, including cyber security protection, and the design of planned additions or modifications to such facilities to the extent necessary for the reliable operation of the Bulk Power System.
3.3. Balancing Authority - The responsible entity that integrates resource plans ahead oftime, maintains load-interchange-generation balance within a Balancing Authority Area, and supports interconnection frequency in real time. The CAISO is the Balancing Authority for the Eldorado System. The NV Energy Balancing Authority (also identified by WECC as the NEVP Balancing Authority) is the Balancing Authority for the Connecting Facilities.
3.4. Balancing Authority Area - The collection of generation, transmission and loads within the metered boundaries of a Balancing Authority. The Eldorado System is within the metered boundary of the CAISO Balancing Authority Area. The Connecting Facilities are within the metered boundary of the NV Energy B alancing Authority Area.
