Securities Redeemed in Part. Any Registered Security which is to be redeemed only in part shall be surrendered at any Office or Agency for such Security (with, if the Operating Partnership or the Trustee so requires, due endorsement by, or a written instrument of transfer in form satisfactory to the Operating Partnership and the Trustee duly executed by, the Holder thereof or his attorney duly authorized in writing) and the Operating Partnership shall execute and the Trustee shall authenticate and deliver, upon Operating Partnership Order, to the Holder of such Security without service charge, a new Registered Security or Securities of the same series, containing identical terms and provisions, of any authorized denomination as requested by such Holder in aggregate principal amount equal to and in exchange for the unredeemed portion of the principal of the Security so surrendered. If a Security in global form is so surrendered, the Operating Partnership shall execute, and the Trustee shall authenticate and deliver, upon Operating Partnership Order, to the Depository for such Security in global form as shall be specified in the Operating Partnership Order with respect thereto to the Trustee, without service charge, a new Security in global form in a denomination equal to and in exchange for the unredeemed portion of the principal of the Security in global form so surrendered.

If a Security in global form is so surrendered, the Operating Partnership Company shall execute, and the Trustee shall authenticate and deliver, upon Operating Partnership Order, deliver to the U.S. Depository or other depository for such Security in global form as shall be specified in the Operating Partnership Company Order with respect thereto to the Trustee, without service charge, a new Security in global form in a denomination equal to and in exchange for the unredeemed portion of the principal of the Security in global form so surrendered.

If a Security in global form is so surrendered, the Operating Partnership Issuer shall execute, and the Trustee shall authenticate and deliver, upon Operating Partnership Order, deliver to the Depository depositary for such Security in global form as shall be specified in the Operating Partnership Issuer Order with respect thereto to the Trustee, without service charge, a new Security in global form in a denomination equal to and in exchange for the unredeemed portion of the principal of the Security in global form so surrendered.

Any Registered Security which is to be redeemed only in part shall be surrendered at any applicable Office or Agency for such Security (with, if the Operating Partnership Company or the Trustee so requires, due endorsement by, or a written instrument of transfer in form satisfactory to the Operating Partnership Company and the Trustee duly executed by, the Holder thereof or his attorney duly authorized in writing) and the Operating Partnership Company shall execute execute, the Guarantees of the Guarantor shall be endorsed on and the Trustee shall authenticate and deliver, upon Operating Partnership Order, deliver to the Holder of such Security without service charge, a new Registered Security or Securities of the same series, containing identical terms and provisions, of any authorized denomination as requested by such Holder in aggregate principal amount equal to and in exchange for the unredeemed portion of the principal of the Security so surrendered. If a Security in global form is so surrendered, the Operating Partnership Company shall execute, and the Trustee shall authenticate and deliver, upon Operating Partnership Order, deliver to the U.S. Depository or other Depository for such Security in global form as shall be specified in the Operating Partnership Company Order with respect thereto to the Trustee, without service charge, a new Security in global form in a denomination equal to and in exchange for the unredeemed portion of the principal of the Security in global form so surrendered.

If a Security in global form is so surrendered, the Operating Partnership schedule to such global Security shall be adjusted as provided in Section 203, or the Company shall execute, and the Trustee shall authenticate and deliver, upon Operating Partnership Order, deliver to the U.S. Depository or other depository for such Security in global form as shall be specified in the Operating Partnership Company Order with respect thereto to the Trustee, without service charge, a new Security in global form in a denomination equal to and in exchange for the unredeemed portion of the principal of the Security in global form so surrendered.

If a Security in global form is so surrendered, Holdings, as the sole general partner of the Operating Partnership Partnership, shall execute, and the Trustee shall authenticate and deliver, upon Operating Partnership Order, to the Depository for such Security in global form as shall be specified in the Operating Partnership Order with respect thereto to the Trustee, without service charge, a new Security in global form in a denomination equal to and in exchange for the unredeemed portion of the principal of the Security in global form so surrendered.

If a Security in global form is so surrendered, the Operating Partnership Company and the guarantor shall execute, and the Trustee shall authenticate and deliver, upon Operating Partnership Order, deliver to the U.S. Depository or other Depository for such Security in global form as shall be specified in the Operating Partnership Company Order with respect thereto to the Trustee, without service charge, a new Security in global form in a denomination equal to and in exchange for the unredeemed portion of the principal of the Security in global form so surrendered.

If a Security in global form is so surrendered, the Operating Partnership shall execute, and the Trustee shall authenticate and deliver, upon Operating Partnership Order, deliver to the Depository for such Security in global form or a custodian for such Depository as shall be specified in the Operating Partnership Order with respect thereto to the Trustee, without service charge, a new Security in global form in a denomination equal to and in exchange for the unredeemed portion of the principal of the Security in global form so surrendered. Any Security issued pursuant to this Section 1107 upon redemption in part of a Security with a Guarantee endorsed thereon shall also have an identical Guarantee, duly executed by the Guarantor, endorsed thereon.

If Except as otherwise specified as contemplated by Section 301, if a Global Security in global form is so surrendered, the Operating Partnership PEC shall execute, and the Trustee shall authenticate and deliver, upon Operating Partnership Order, deliver to the Depository for such Security Depositary in global form as shall be specified in the Operating Partnership Order with respect thereto to the Trusteeform, without service charge, a new Global Security or Securities of the same series, Stated Maturity and of any authorized denomination as requested by the Depositary, in global form in a denomination an aggregate principal amount equal to and in exchange for the unredeemed portion of the principal of the Global Security in global form so surrendered.. If a Global Security in global form is so surrendered, the Operating Partnership Issuer shall execute, execute and the Trustee shall authenticate and deliver, upon Operating Partnership Order, deliver to the Depository for such Security in global form as shall be specified in the Operating Partnership Order with respect thereto to the Trusteedepositary, without service charge, a new Global Security in global form in a denomination equal to and in exchange for the unredeemed portion of the principal of the Global Security in global form so surrendered. Upon any such execution by the Issuer of a new Security or Securities, the Guarantor shall execute a new Guarantee in respect thereof.
