Common use of Security Agent Clause in Contracts

Security Agent. (a) Each other Finance Party appoints the Security Agent to act as its agent and (to the extent permitted under any applicable law) trustee under and in connection with the Security Documents and confirms that the Security Agent shall have a lien on the Security Documents and the proceeds of the enforcement of those Security Documents for all moneys payable to the beneficiaries of those Security Documents. (b) Each other Finance Party authorises the Security Agent: (i) to perform the duties, obligations and responsibilities and to exercise the rights, powers, authorities and discretions specifically given to the Security Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions; and (ii) to execute each of the Security Documents and all other documents that may be approved by the Agent and/or the Majority Lenders for execution by it. (c) The Security Agent accepts its appointment under clause 33.21 (Security Agent) as trustee of the Trust Property with effect from the date of this Agreement and declares that it holds the Trust Property on trust for itself, the other Finance Parties (for so long as they are Finance Parties) on and subject to the terms set out in clauses 33.21-33.28 (inclusive) and the Security Documents to which it is a party.

Security Agent. (c) The Security Agent accepts its appointment under clause 33.21 27.21 (Security Agent) as trustee of the Trust Property with effect from the date of this Agreement and declares that it holds the Trust Property on trust for itself, the other Finance Parties (for so long as they are Finance Parties) on and subject to the terms set out in clauses 33.21-33.28 27.21 - 27.34 (inclusive) and the Security Documents to which it is a party.

Security Agent. (a) 34.21.1 Each other Finance Party appoints the Security Agent to act as its agent and (to the extent permitted under any applicable law) trustee under and in connection with the Security Documents and confirms that the Security Agent shall have a lien on the Security Documents and the proceeds of the enforcement of those Security Documents for all moneys monies payable to the beneficiaries of those Security Documents. (b) 34.21.2 Each other Finance Party authorises the Security Agent: (ia) to perform the duties, obligations and responsibilities and to exercise the rights, powers, authorities and discretions specifically given to the Security Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions; and (iib) to execute each of the Security Documents and all other documents that may be approved by the Agent and/or the Majority Lenders for execution by it. (c) 34.21.3 The Security Agent accepts its appointment under clause 33.21 34.21 (Security Agent) as trustee of the Trust Property with effect from the date of this Agreement and declares that it holds the Trust Property on trust for itself, the other Finance Parties (for so long as they are Finance Parties) on and subject to the terms set out in clauses 33.21-33.28 34.21 (Security Agent) - 34.28 (Indemnity from Trust Property) (inclusive) and the Security Documents to which it is a party.

Security Agent. (a) Each other Finance Party appoints the Security Agent to act as its agent and (to the extent permitted under any applicable law) trustee under and in connection with the Security Documents and confirms that the Security Agent shall have a lien on the Security Documents and the proceeds of the enforcement of those Security Documents for all moneys payable to the beneficiaries of those Security Documents. (b) Each other Finance Party authorises the Security Agent: (i) to perform the duties, obligations and responsibilities and to exercise the rights, powers, authorities and discretions specifically given to the Security Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions; and (ii) to execute each of the Security Documents and all other documents that may be approved by the Facility Agent and/or the Majority Lenders for execution by it. (c) The Security Agent accepts its appointment under clause 33.21 37.20 (Security Agent) as trustee of the Trust Property with effect from the date of this Agreement and declares that it holds the Trust Property on trust for itself, the other Finance Parties (for so long as they are Finance Parties) and such other persons entitled under the lntercreditor Deed on and subject to the terms set out in clauses 33.21-33.28 37.20 to 37.28 (inclusive) ), the lntercreditor Deed and the Security Documents to which it is a party.

Security Agent. (c) The Security Agent accepts its appointment under this clause 33.21 35.16 (Security Agent) as trustee of the Trust Property with effect from the date of this Agreement and declares that it holds the Trust Property on trust for itself, the other Finance Parties (for so long as they are Finance Parties) on and subject to the terms set out in clauses 33.21-33.28 35.16 - 35.24 (inclusive) and the Security Documents to which it is a party.

(c) The Security Agent accepts its appointment under clause 33.21 Clause 27.21 (Security Agent) as trustee of the Trust Property with effect from the date of this Agreement and declares that it holds the Trust Property on trust for itself, the other Finance Parties (for so long as they are Finance Parties) on and subject to the terms set out in clauses 33.21-33.28 Clauses 27.21 - 27.34 (inclusive) and the Security Documents to which it is a party.

Security Agent. (c) The Security Agent accepts its appointment under this clause 33.21 32.18 (Security Agent) as trustee of the Trust Property with effect from the date of this Agreement and declares that it holds the Trust Property on trust for itself, the other Finance Parties (for so long as they are Finance Parties) on and subject to the terms set out in clauses 33.21-33.28 32.18 to 32.27 (inclusive) and the Security Documents to which it is a party.

(c) The Security Agent accepts its appointment under this clause 33.21 34.16 (Security Agent) as trustee of the Trust Property with effect from the date of this Agreement and declares that it holds the Trust Property on trust for itself, the other Finance Parties (for so long as they are Finance Parties) on and subject to the terms set out in clauses 33.21-33.28 34.16 - 34.24 (inclusive) and the Security Documents to which it is a party.

Security Agent. (b) Each other Finance Party authorises the Security Agent: (i) to perform the duties, obligations and responsibilities and to exercise the rights, powers, authorities and discretions specifically given to the Security Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions; and (ii) to execute each of the Security Documents and all other documents that may be approved by the Agent and/or the Majority Required Lenders for execution by it. (c) The Security Agent accepts its appointment under clause 33.21 Clause 27.21 (Security Agent) as trustee of the Trust Property with effect from the date of this Agreement and declares that it holds the Trust Property on trust for itself, the other Finance Parties (for so long as they are Finance Parties) on and subject to the terms set out in clauses 33.21-33.28 Clauses 27.21—27.34 (inclusive) and the Security Documents to which it is a party.

Security Agent. (a) Each other Finance Party appoints the Security Agent to act as its agent and (to the extent permitted under any applicable law) trustee under and in connection with the Security Documents and confirms that the Security Agent shall have a lien on the Security Documents and the proceeds of the enforcement of those Security Documents for all moneys payable to the beneficiaries of those Security Documents. (b) Each other Finance Party authorises authorizes the Security Agent: (i) to perform the duties, obligations and responsibilities and to exercise the rights, powers, authorities and discretions specifically given to the Security Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions; and (ii) to execute each of the Security Documents and all other documents that may be approved by the Administrative Agent and/or the Majority Required Lenders for execution by it. (c) The Security Agent accepts its appointment under clause 33.21 paragraph (Security Agenta) above as trustee of the Trust Property with effect from the date of this Agreement and declares that it holds the Trust Property on trust for itself, the other Finance Parties (for so long as they are Finance Parties) on and subject to the terms set out in clauses 33.21-33.28 this Clause 32.20 (Security Agent) through 32.27 (Indemnity from Trust Property) (inclusive) and the Security Documents to which it is a party.

Security Agent. (b) Each other Finance Party authorises the Security Agent: (i) to perform the duties, obligations and responsibilities and to exercise the rights, powers, authorities and discretions specifically given to the Security Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions; and (ii) to execute each of the Security Documents and all other documents that may be approved by the Agent and/or the Majority Lenders for execution by it. (c) The Security Agent accepts its appointment under this clause 33.21 34.17 (Security Agent) as trustee of the Trust Property with effect from the date of this Agreement and declares that it holds the Trust Property on trust for itself, the other Finance Parties (for so long as they are Finance Parties) on and subject to the terms set out in clauses 33.21-33.28 34.17 to 34.26 (inclusive) and the Security Documents to which it is a party.

Security Agent. (a) 35.18.1 Each other Finance Party appoints the Security Agent to act as its agent and (to the extent permitted under any applicable law) trustee under and in connection with the Security Documents and confirms that the Security Agent shall have a lien on the Security Documents and the proceeds of the enforcement of those Security Documents for all moneys payable to the beneficiaries of those Security Documents. (b) 35.18.2 Each other Finance Party authorises the Security Agent: (ia) to perform the duties, obligations and responsibilities and to exercise the rights, powers, authorities and discretions specifically given to the Security Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions; and (iib) to execute each of the Security Documents and all other documents that may be approved by the Agent and/or the Majority Lenders for execution by it. (c) 35.18.3 The Security Agent accepts its appointment under clause 33.21 35.18 (Security Agent) as trustee of the Trust Property with effect from the date of this Agreement and declares that it holds the Trust Property on trust for itself, the other Finance Parties (for so long as they are Finance Parties) on and subject to the terms set out in clauses 33.21-33.28 35.18—35.25 (inclusive) and the Security Documents to which it is a party.
