Common use of Security of Electronic Protected Health Information Clause in Contracts

Security of Electronic Protected Health Information. Business Associate shall: 14.1 Implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of the Electronic Protected Health Information that Business Associate creates, receives, maintains, or transmits on behalf of Covered Entity as required by Subpart C of Part 164 of Title 45 of the Code of Federal Regulations. 14.2 Ensure that any agent, including a subcontractor, to whom the Business Associate provides such Electronic Protected Health Information agrees to implement reasonable and appropriate safeguards to protect such information. 14.3 Report to Covered Entity any Security Incident of which Business Associate becomes aware. 14.4 Authorize termination of the Agreement by Covered Entity if Covered Entity determines that Business Associate has violated a material term of this Business Associate Addendum; provided, however, that such termination shall be in accordance with the provisions of the Agreement relating to termination, including but not limited to any provisions which afford Business Associate the right to cure any defaults or breaches of contract.
