Common use of Seismic Data Clause in Contracts

Seismic Data. To the extent the Purchaser wishes to acquire the Vendor’s seismic data for the entire seismic lines where such lines touch or cross the lands within the area cross-hatched on Schedule “H” (the “Seismic Data”), and to the extent the Vendor is permitted to do so, the Vendor will co-operate in providing the Purchaser with a licence or a copy, as applicable, of the Seismic Data at the Purchaser’s sole expense. For the Vendor’s proprietary Seismic Data, the Vendor will provide the Purchaser with a licence to such proprietary Seismic Data, subject to any third party consent requirements, upon the terms of the Vendor’s standard seismic licence agreement excluding any provision for the payment of fees. Such licence agreement shall provide that the Vendor shall not agree to a further disposition of an interest in such Seismic Data without the consent of the Purchaser. Where the Vendor holds a licensed copy, and where the licence permits, the Vendor will provide the Purchaser with a copy of the Seismic Data. The determination as to whether any particular Seismic Data will be provided to the Purchaser is solely within the Vendor’s discretion based on its interpretation of its obligations to third parties.
