Server Ready. Any material, data, software or products You provide to SherWeb in connection with SherWeb Services shall be server ready, meaning that they shall be in a condition and form, as determined solely by SherWeb, which requires no additional manipulation or verification on the part of SherWeb. Attempting to place or requesting placement of non-server-ready material, data, software or products on SherWeb’s servers shall be a material breach of this Agreement.

Your attempting to place or requesting placement of Non-Server-Ready material, data, software or products on Our servers shall be a breach of this Agreement. “Server Ready” means the material, data, software or products are in a condition and form, as determined solely by Us, which requires no additional manipulation or verification on the part of Us for use on Our servers.
Server Ready. You will provide us with material and data in a condition that is capable of being deployed by us without any specialized effort on our part. In most cases, that requires that the material and data be “Server Ready” and that term is used throughout this Agreement to refer to this obligation.

  • Moonlighting Employee will focus his/her professional time, ability, and attention on City business during the term of this Agreement. To the extent consistent with applicable law, Employee shall not engage in any other business duties or pursuits whatsoever or, directly or indirectly, render any services of a business, commercial, or professional nature to any other person or organization, whether for compensation or otherwise, without the prior consent of the City Manager, except that: (1) The expenditure of reasonable amounts of time not in conflict with the City's needs and interests, for educational, charitable, community, and professional activities, shall not be deemed a breach of this Agreement and shall not require prior consent. (2) This Agreement shall not be interpreted to prohibit Employee from making passive personal investments or conducting private business affairs if those activities do not materially interfere with the services required under this Agreement or create conflicts of interest.

  • Shareholder Services Transfer Agent or its agent will investigate all inquiries from Shareholders of a Fund relating to Shareholder accounts and will respond to all communications from Shareholders and others relating to its duties hereunder and such other correspondence as may from time to time be mutually agreed upon between Transfer Agent and a Fund. Transfer Agent shall provide each Fund with reports concerning Shareholder inquires and the responses thereto by Transfer Agent, in such form and at such times as are agreed to by the Fund and Transfer Agent.

  • Cell Phone Employee shall be provided with a cell phone, with e-mail capabilities, at Board expense. As a condition of receipt of said cell phone, employee is expected to be reachable as necessary and appropriate by the Superintendent and Board President for the thorough and efficient operation of the School District. Incidental personal use shall be permitted. Employees shall have the option of being reimbursed for the use of a personal smartphone in the amount of fifty dollars ($50.00) per month instead of accepting a district cell phone. As a condition of this reimbursement, employee must a) be reasonably available at all times via the personal phone; and b) take reasonable measures to protect the confidentiality of student and staff information being transmitted to and through said phone.
