Common use of Service of Process and Venue Clause in Contracts

Service of Process and Venue. For purposes of any claims or proceedings to enforce this Indemnification Agreement, the Corporation consents to the jurisdiction and venue of any federal or state court of competent jurisdiction in the states of California and Delaware, and waives and agrees not to raise any defense that any such court is an inconvenient forum or any similar claim.
