Common use of Service Provider Clause in Contracts

Service Provider. The Service Provider also represents at the date this Agreement is entered into and any Service is used or provided: (i) it has commercially reasonable data security and business continuity controls and plans; and (ii) it has access to the necessary facilities, equipment, and personnel to perform its duties and obligations under this Agreement.

The Service Provider also represents at the date this Agreement is entered into and any Service is used or provided: (i) it 9.3.1 It has commercially reasonable data security and business continuity controls and plans; and; (ii) it 9.3.2 It has access to to, and will employ on behalf of the Funds, the necessary facilities, equipment, and personnel to perform its duties and obligations under this Agreement.; and 9.3.3 Its entry into this Agreement is not intended to constitute a delegation of any of the functions described in clause 4.2 of this Agreement

The Service Provider also represents at the date this Agreement is entered into and any Service is used or provided: (i) it has commercially reasonable data security and business continuity controls and plans; and; (ii) it has access to the necessary facilities, equipment, and personnel to perform its duties and obligations under this Agreement; and (iii) it is registered as a transfer agent with the Securities and Exchange Commission, and covenants to maintain such registration during the term of this Agreement.

The Service Provider also represents at the date this Agreement is entered into and any Service is used or provided: (i) it has maintains commercially reasonable reasonable, written comprehensive data security and business continuity controls and plans; andplans that are in compliance with applicable federal and state laws and that would be standard for professionals for hire providing services similar to the Services, (ii) it has access to the necessary facilities, equipment, and personnel to perform its duties and obligations under this Agreement.

The Service Provider also represents at the date this Agreement is entered into and any Service is used or provided: (i) it has It maintains commercially reasonable reasonable, written comprehensive data security and business continuity controls and plans; andplans that are in compliance with applicable federal and state laws and that would be standard for professionals for hire providing services similar to the Services; (ii) it It has access to the necessary facilities, equipment, and personnel to perform its duties and obligations under this Agreement; and (iii) It is a registered transfer agent under the Securities Exchange Act of 1934, as amended.
