Service Provider’s Representations and Warranties. The Service Provider represents and warrants that: (a) (power to execute and perform): it has the power to execute, deliver and carry out its obligations under this agreement and all necessary action has been taken to authorise that execution, delivery and performance; (b) (legality): the execution, delivery and carrying out of its obligations under the agreement to which it is a party does not and will not violate any law or any document or agreement to which it is a party or which is binding on it or any of its assets; (c) (validity): the agreement constitutes a valid and legally binding obligation on it in accordance with its terms; (d) (registration): it is duly registered, properly constituted and remains in existence; (e) (necessary licences): it will obtain, or holds and will continue to hold all Approvals in order to lawfully execute, deliver and carry out its obligations under this agreement; and (f) (no trust relationship): except as stated in this agreement, it is not the trustee or responsible entity (as defined in the Corporations Act) of any trust nor does it hold any property subject to or impressed by any trust.
